Description

Supervision authorities expect you to conduct an annual self-evaluation of the Supervisory Board’s performance and record the outcome in writing. In a self-evaluation, the following six elements should at least be covered:

  • the performance of the Supervisory Board as a whole;
  • the diversity and expertise of the Supervisory Board members;
  • the relationship between the President of the Supervisory Board and other members;
  • the presence and participation of the individual Supervisory Board members;
  • the quality of the contents of the discussions in the Supervisory Board; and
  • the assessment of the completeness, quality, and timeliness of the internal and external information received in relation to the duties and responsibilities of the Supervisory Board members.

Noctua facilitates the following aspects with regard to the self-evaluation:

  • individual interviews with Supervisory Board members;
  • preparing a tailor-made questionnaire for the Supervisory Board members in which aforementioned elements will be covered;
  • providing a written report with the outcome of the self-evaluation (information from interviews and received answers on the questionnaire will be anonymous); and
  • discuss the report with the Supervisory Board members.

Noctua can facilitate your organization with online interviews and discussion of the report.
